General Terms and Conditions of Sale

These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between

La Parenthèse Bleue Conciergerie, represented by Anne-Marie La Salvia, and the Client for the provision of concierge services and associated services. Acceptance of these GTCS implies full adherence to the terms of

the agreement.

ARTICLE 1 — OBJECT

This document defines the terms under which La Parenthèse Bleue Conciergerie, represented by Anne-Marie

La Salvia, provides the Client with concierge services and associated services related to the operation of the Client's property.

These services are provided under a direct contractual relationship between the Service Provider and the Client,

who is the property owner.

Services may be implemented at the Client’s direct request or at the initiative of a real estate professional acting as a referrer or intermediary, without the latter being a party to this contract.

The Service Provider acts exclusively as an independent service provider and operates independently, without any subordination to the Client. This contract does not constitute a mandate, a property management contract, or a property administration contract under French law n°70-9 of January 2, 1970 (Hoguet Law).

The Service Provider does not collect rents, deposits, security deposits, or the tourist tax on behalf of the Client.

These amounts are directly collected by the Client or, where applicable, by the booking platforms used.

ARTICLE 2 — SCOPE OF APPLICATION

These GTCS supplement the specific contracts concluded between the Service Provider and the Client. In case of a contradiction, the provisions of the specific contract prevail over those of the GTCS. The signing of a contract or the acceptance of a quote implies full acceptance of these GTCS.

ARTICLE 3 — NATURE OF THE SERVICES

The Service Provider acts exclusively as an independent service provider. The services provided do not entail a mandate, property management, or administration of property, nor the collection of funds on behalf of the Client.

The Service Provider is not a party to the rental contracts concluded between the Client and the occupants of the property.

ARTICLE 4 — ADDITIONAL ON-DEMAND SERVICES

On-demand services can be provided at the Client’s request, including but not limited to:

  • Property inspections

  • Property surveillance

  • Coordination of interventions

  • Mail management

  • Property preparation

  • Comfort services

These services will be invoiced separately and will be performed after the Client’s prior agreement.

They may be detailed in a pricing annex or a specific quote.

ARTICLE 5 — FINANCIAL CONDITIONS

The remuneration terms for main services are defined in the specific contracts (Signature Offer or Horizon Offer).

On-demand services are invoiced according to the applicable rates or based on an accepted quote. Invoices are payable upon receipt via bank transfer.

In case of late payment, penalties may be applied in accordance with article L.441-10 of the French Commercial Code.

ARTICLE 6 — CANCELLATION / POSTPONEMENT OF ON-DEMAND SERVICES

Any on-demand service canceled less than 24 hours before its scheduled execution may be charged, except in the case of force majeure. Expenses incurred by the Service Provider on behalf of the Client remain due.

ARTICLE 7 — LIABILITY

The Service Provider is bound by an obligation of means. The Service Provider shall not be held liable for:

  • Damages caused by the occupants

  • Non-payments

  • Disputes between the Client and the occupants

  • Interventions performed by third-party service providers

In any event, the liability of the Service Provider is limited to the amounts actually invoiced for the service in question.

ARTICLE 8 — INSURANCE

The Service Provider declares to be covered by a professional liability insurance policy adapted to its concierge service activities.

ARTICLE 9 — FORCE MAJEURE

Neither party shall be held liable in case of force majeure as defined in article 1218 of the French Civil Code.

ARTICLE 10 — PERSONAL DATA

The personal data collected on the website of  La Parenthèse Bleue Conciergerie is processed in accordance with applicable regulations. ARTICLE 11 — APPLICABLE LAW AND DISPUTES

These GTCS are governed by French law. In case of a dispute, the parties will attempt to reach an amicable solution before any legal action is taken. If no amicable agreement is reached, the competent courts will be those located within the jurisdiction of the Service Provider's registered office.
